BY-LAWS  

 

ARTICLE I – Dues  

Section 1

The membership dues shall be $35 payable annually and shall be effective for the fiscal year in which paid.

 

Section 2

Retired business education teachers, business education students and business education student teachers shall be given complimentary membership in WSBEA.

 

 ARTICLE II – Election of Officers  

Officers shall be elected at the annual meeting of WSBEA; they shall assume their duties on July 1 and shall serve through the fiscal year.

 ARTICLE III – Duties of Officers

PRESIDENT: The President shall perform the duties common to such an office, preside at all meetings of the Executive Board, preside at the annual meeting and assume any other duties assigned to such an officer.  

PRESIDENT-ELECT: The President-elect shall perform the duties of the President if a vacancy occurs, serve as chairperson of the WSBEA state conference and assist the President. The President-elect shall be a nominee for the office of President.  

TREASURER:  The Treasurer shall receive and disburse the funds of WSBEA. The Treasurer shall keep and preserve proper books of accounts, which shall be open to inspection by the members of the Executive Board. These books shall be subject to audit prior to the time the newly elected Treasurer takes office. The funds shall be deposited in a bank in the name of WSBEA, under the signature of the Treasurer or President. The signature of the Treasurer or President shall be required on all checks. The Treasurer shall submit a duplicated report at each meeting. He/she shall have such other duties, as the Executive Board shall delegate. In the absence or disability of the President and President-elect, the Treasurer shall assume the office of President.  

SECRETARY: The Secretary shall prepare minutes of each meeting of the Executive Board and send a copy to each member thereof. The Secretary shall keep the official minute book. He/she shall keep the official copy of the Constitution and By-Laws and the Executive Board Policy and Procedures and shall have them available at all meetings of the Executive Board. He/she shall perform such other duties as the Executive Board may delegate to him/her. In the absence or disability of the President, President-elect, and the Treasurer, the Secretary shall assume the office of President.

 ARTICLE IV – Removal of an Officer or Board Member  

Section 1

An officer who does not perform his/her duties as assigned shall be notified, in writing by the President, that removal proceedings will be held at the next Executive Board meeting. A majority vote of the Executive Board shall effect removal.
 

Section 2

In the event the officer to be removed should be the President, the notification shall be made in writing to the Past President by a current WSBEA officer and subject to a two-thirds majority vote of the Executive Board. The President-Elect shall then assume the position of President.  

 ARTICLE V - Vacancies  

Section 1

If a vacancy occurs in the office of the president-elect, a WSBEA member who has served on the Executive Board shall be appointed to the office by the president, with the approval of the Executive Board, to serve the remainder of the term.
 

Section 2

If a vacancy occurs in the office of the secretary or treasurer, a WSBEA member shall be appointed to the office by the president, with the approval of the Executive Board, to serve the remainder of the term.  

 ARTICLE VI - Committees  

Section 1

The President may appoint such special committees as may be necessary to carry out the purposes of WSBEA.
 

Section 2

The Nominations Committee shall be appointed by the president. The committee will submit a slate of nominees for President, President-elect, Treasurer, Secretary and the WSBEA Representative to the WA-ACTE Executive Board (when this position needs to be filled) to the Executive Board at its last regular meeting prior to the annual WSBEA meeting. The final report of the Nominations Committee shall be given to the annual meeting, at which time additional nominations may be made.
 

Section 3

The Audit Committee shall be appointed by the President. Signed copies of the audit shall be submitted to the President, Treasurer and Secretary by the August Executive Board meeting.
 

Section 4

There shall be an In-service Committee, chaired by the in-service coordinator. The purpose of this committee shall be to coordinate, plan, and provide in-service opportunities and area workshops for WSBEA members within respective divisions.  

ARTICLE VII – Amendments  

Section 1

Any member may present an individually sponsored petition to amend the Constitution and By-Laws. Such proposed amendments shall be filed in writing with the President.
 

Section 2

The Executive Board shall consider proposed amendments, qualifying under the provisions set forth in Section 1, at its next regular meeting.
 

Section 3

An amendment passed by a two-thirds vote any quorum meeting of  the Executive Board, or a petition for an amendment signed by 50 members, shall be submitted to the membership for vote.
 

Section 4

A majority of the WSBEA membership present at the annual meeting voting favorably shall place the amendment in force.
 

 ARTICLE VIII - Procedures  

Section 1

The current edition of ROBERT’S RULES OF ORDER shall be the parliamentary authority on any points not covered in the Constitution and By-Laws.
 

Section 2

The WSBEA Executive Board Policy and Procedures shall implement the Constitution and B-Laws.  

 ARTICLE IX - Quorum  

An Executive Board quorum shall consist of the presence of 50% plus one (1) of the voting board members.
